1. Scope

These terms and conditions apply to all IT services, operational support and consulting engagements by Netralis unless otherwise agreed in a separate contract.


2. Offers and contract conclusion

Offers are non-binding unless explicitly marked as binding. A contract is concluded through written confirmation or by performance of the service.


3. Scope of services and change requests

The exact scope is defined in the offer and order confirmation. Changes are agreed via addendum. Use of subcontractors is permitted.


4. Client cooperation duties

The client must provide required information, documentation, access and contacts in due time, and is responsible for regular backups.


5. Prices and payment terms

Agreed prices apply plus statutory VAT. Invoices are generally due within 14 days without deduction.


6. Performance deadlines and delay

Deadlines are binding only if expressly confirmed. In cases of force majeure or missing cooperation, deadlines are extended appropriately.


7. Acceptance (for work contracts)

Work results are subject to acceptance after completion. If acceptance is not refused in due time, acceptance is deemed granted.


8. Warranty

In case of justified defects, subsequent performance applies. The warranty period is generally one year from service completion or acceptance.


9. Liability

Unlimited liability applies in cases of intent, gross negligence and injury to life, body or health. Otherwise, liability is limited to typical foreseeable damages.


10. Rights of use

The client receives a simple, non-exclusive right of use for the contractual purpose. Any extended use requires consent.


11. Confidentiality

Both parties are obliged to keep confidential information secret. This obligation survives contract termination.


12. Data protection

Both parties comply with GDPR and applicable data protection law. A separate agreement under Art. 28 GDPR is concluded where required.


13. Final provisions

German law applies excluding the CISG. Place of jurisdiction is Bremen where legally permissible.
